1. Definitions
Client The individual or business entity entering into an agreement with ecoBees Intelligence Private Limited for services.
ecoBees / "We" / "Us" ecoBees Intelligence Private Limited, a Shopify development agency registered in Kathmandu, Nepal.
Services Work performed by ecoBees, including Shopify development, headless builds, automation, optimization, and ongoing support.
2. General Terms
Estimates
All estimates are provided free of charge and are valid for 30 days from the date of issue. After this period, the project scope will need to be reviewed.
Pricing
Project costs and hourly rates are discussed and agreed upon before work begins. All prices exclude applicable taxes unless stated otherwise.
Recurring Costs
Third-party costs such as hosting, apps, and subscriptions are subject to change based on provider pricing. Clients will be notified in advance of any changes.
Scope Changes
Requests for additional features or modifications after the scope has been agreed upon may result in additional costs. A revised estimate will be provided before any out-of-scope work begins.
Payment
- Payments are structured on a milestone basis.
- Larger projects may require an advance payment before work begins, as discussed during project scoping.
- Final payment is due within 14 days of project delivery.
- Failure to pay within the agreed period after reminders may result in project suspension.
Cancellation
The client may cancel the project at any time. However:
- Payments for completed work are non-refundable.
- The client remains responsible for any completed work not yet invoiced.
- Third-party costs incurred on the client's behalf must be reimbursed.
Delivery
- Projects will only go live after written approval from the client.
- Timelines provided are estimates and may be adjusted based on feedback cycles, scope changes, or client responsiveness.
- Delays caused by incomplete information or late feedback from the client will extend the delivery timeline.
Client Responsibilities
The client is solely responsible for all content on their website, including text, images, videos, and other materials. This includes:
- Ensuring proper rights and licenses for all content
- Compliance with applicable laws and regulations
- Accuracy and truthfulness of information
Any legal claims arising from client-provided content are the sole responsibility of the client.
3. Third-Party Purchases
Theme Purchases
If a project requires a premium Shopify theme, the client is responsible for purchasing the theme license directly. ecoBees can recommend suitable themes and assist with setup, but the purchase and license agreement remain between the client and the theme provider.
If the client requests ecoBees to purchase a theme on their behalf:
- The client must provide payment in advance.
- The license will be registered under the client's name or business where possible.
- ecoBees is not responsible for theme provider policies, updates, or support after purchase.
Premium Software and Apps
The same applies to premium apps, plugins, fonts, stock assets, and any other third-party software required for the project:
- The client is responsible for purchasing and maintaining their own licenses.
- If purchased by ecoBees on the client's behalf, advance payment is required.
- Ongoing subscription costs remain the client's responsibility.
- ecoBees is not liable for changes in third-party pricing, features, or availability.
Refunds on Third-Party Purchases
ecoBees cannot provide refunds for third-party purchases. Refund requests must be directed to the respective providers according to their policies.
4. Project Agreements
Each project agreement will include:
- Scope of Work. A clear description of deliverables.
- Cost. The agreed project price or hourly rate.
- Payment Schedule. Milestone-based payment terms.
- Timeline. Estimated delivery dates.
- Acceptance Criteria. Conditions for project completion.
- Ongoing Costs. Any recurring fees for hosting, apps, or maintenance.
These Terms of Service apply to all engagements unless specific terms are agreed upon in writing by both parties.
5. Intellectual Property
Client Ownership
Upon receipt of full payment, all custom code, designs, and assets created by ecoBees for the client become the client's property. No licensing fees or lock-in arrangements apply.
Third-Party Assets
Third-party themes, plugins, fonts, and stock assets remain subject to their original licenses. ecoBees cannot transfer ownership of assets not created by us.
Portfolio Rights
ecoBees reserves the right to display completed work in our portfolio and marketing materials unless the client requests otherwise in writing or a Non-Disclosure Agreement is in place.
6. Confidentiality
ecoBees is prepared to sign a Non-Disclosure Agreement before discussing project details. All client business information, analytics, and strategies shared during our engagement will be kept confidential.
7. Warranties and Liability
Performance Guarantee
If we do not measurably improve your store's technical performance within 90 days of project completion, we will either refund your payment or continue working at no additional cost.
Bug Fixes
We provide complimentary bug fixes for 10 days after project delivery for issues directly related to our work. This does not cover issues caused by third-party apps, client modifications, or platform updates.
Limitation of Liability
ecoBees is not liable for:
- Loss of revenue, data, or business opportunities
- Issues caused by third-party services or providers
- Consequences arising from client-provided content
- Events beyond our reasonable control
8. Communication
Clients can expect:
- Daily updates during active development
- Time tracking reports
- Video documentation when appropriate
- Responsive communication via WhatsApp, email, or preferred channels
We work with clients across all time zones. A minimum of 2 to 3 hours of daily overlap is ideal. For situations with minimal overlap, alternative arrangements can be discussed.
9. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through good-faith discussion. If a resolution cannot be reached, disputes will be subject to the laws of Nepal, with jurisdiction in Kathmandu.
10. Amendments
ecoBees reserves the right to update these Terms of Service. Clients will be notified of any changes. Continued engagement after notification constitutes acceptance of the updated terms.
